These Terms of Service (the “Terms”) are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the Shoplook website at www.Shoplook.in (the “Site”) and any related mobile or software applications (“Shoplook Platform”) including but not limited to delivery of information via the website whether existing now or in the future that link to the Terms (collectively, the “Services”).

Please read these Terms carefully.For the purposes of these Terms of Use, the term ‘Shoplook’ or ‘Us’ or ‘We’ refers to Allarc Solutions Private Limited. The term ‘You’ refers to the user or visitor of the Website and/or App. When You use our services, You will be subject to the terms, guidelines and policies applicable to such service and as set forth in these Terms of Use. As long as you comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use our Platforms and services.

By using the Platforms, You agree to be bound by these Terms of Use, whether You are a “Visitor” (which means that you simply browse our Platforms) , “Registered User” (which means you have registered with Shoplook as a user) or “Seller”(which means you have registered your shop for listing products on Shoplook). If You do not accept these terms, You should leave the Website and/or App and discontinue the use of the service immediately.

1.2 We may modify these Terms of Use from time to time, and such modification shall be effective upon its posting on our Platforms. You agree to be bound by any modification to these terms when You use the Platforms after any such modification is posted; it is therefore important that You review these Terms regularly.
Definitions or Reference

– Shoplook seller mobile application (“Mobile Application”) www.Shoplook.in (“Website”) shall collectively be hereinafter referred to as the “Shoplook Platform”;
– “You”, “Your” , and “Seller” , shall mean any natural or legal person who has been authorised by the shop/establishments/outlets to sell the Products to the Buyers by installing Shoplook Platform as a registered user on behalf of the shop/establishments/outlets and has accepted these Terms of Use on behalf of the shop/establishments/outlets of accessing the Shoplook Platform;
– “We”, “Us”, “Our” shall mean “Shoplook”; and
– any third party buying products through the Shoplook Platform shall be referred as “Buyers”.

– “Seller” , shall mean any natural or legal person who has been authorised by the shop/establishments/outlets to sell the Products to the Buyers by installing Shoplook Platform as a registered user on behalf of the shop/establishments/outlets and has accepted these Terms of Use on behalf of the shop/establishments/outlets of accessing the Shoplook Platform;

1.Introduction:

These Terms of Use are subject to change from time to time at Our sole discretion, and any changes will be effective immediately upon posting on the Shoplook Platform. You are responsible for regularly reviewing these Terms of Use so that You will be apprised of any changes. You can determine when these Terms of Use were last revised by referring to the [“LAST UPDATED”] legend at the top of these Terms of Use. Your continued use of the Site after such changes will indicate Your acceptance of such revised Terms of Use. We are committed to providing quality content to You and encourage You to contact Us about these Terms of Use via Contact Us information provided on our Shoplook Platform.

2.DESCRIPTION OF SERVICE AND CONTENT POLICY

A. The Shoplook Platform is an electronic platform in the form of an intermediary that provides services to facilitate the engagement of Buyers and Sellers for commerce and including but not limited to internet based services (“Service”) on the Shoplook Platform and such other services that are incidental and ancillary thereto. Your subscription to the Services is solely at Your discretion. One such Service enables You to offer/ inform the availability of the merchandise available at Your shop/establishments/outlets (collectively, “Products”) for sale to prospective Buyers through Your shop/establishment/outlet, who is searching for these Products on-line. The Products will be purchased by the Buyers after visiting Your shop/establishment/outlet and making the payment directly to You or Your authorised persons. The sale/purchase of Products can be additionally governed by Your specific policies of sale, like cancellation policy, exchange policy, return policy, etc. as informed by You to such Buyers. We are not responsible for any conduct or behaviour of the Buyers who approach/contact you for the Products offered by You on Shoplook Platform.

B. You understand that Shoplook does not control, and is not responsible for ads, directory information, business listings/information, messages between users, including without limitation e-mails sent from outside Shoplook’s domain or other means of electronic communication, whether through the Platform or another Third Party Website or offerings, comments, user postings, files, images, photos, video, sounds, business listings/information and directory information or any other material made available through the Platform and the Service (“Content”), and that by using the Platform and the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. You acknowledge and agree that you are responsible for and must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will Shoplook be liable in any way for the Content or for any loss or damage of any kind incurred as a result of the browsing, using or reading any Content listed, e-mailed or otherwise made available via the Service. You acknowledge and agree that Shoplook cannot and does not pre-screen or approve any Content, but that Shoplook has the right, in its sole and absolute discretion, to refuse, delete or move any Content that is or may be available through the Service, for violating these Terms and such violation being brought to Shoplook’s knowledge or for any other reason or no reason at all. Furthermore, the Platform and Content available through the Platform may contain links to other third party websites (“Third Party Websites”), which are completely unrelated to Shoplook. If you link to Third Party Websites, you may be subject to those Third Party Websites’ terms and conditions and other policies. Shoplook makes no representation or guarantee as to the accuracy or authenticity of the information contained in any such Third Party Website, and your linking to any other websites is completely at your own risk and Shoplook disclaims all liability thereto.

C. Shoplook does not endorse any Content or any opinion, statement, recommendation, or advice expressed therein, and Shoplook expressly disclaims any and all liability in connection with user Content. Shoplook does not permit copyright infringing activities and infringement of intellectual property rights on the Platform, and Shoplook may, at its sole discretion, remove any infringing Content if properly notified in accordance with applicable law that such Content infringes on another’s intellectual property rights. Shoplook reserves the right to remove any Content without prior notice. Shoplook may also terminate a user’s access to the Platform, if they are determined to be a repeat infringer or found to be indulging in any act contrary to these Terms. A repeat infringer is a user who has been notified of infringing activity more than twice and/or has had a user submission removed from the Platform more than twice. Further, at its sole discretion, Shoplook reserves the right to decide whether any Content is appropriate and complies with these Terms.

3. General Registration Requirements

3.1 In consideration of your use of our Platforms, you represent that You are of legal age to form a binding contract and are not a person barred from receiving services under any law in force in India or other applicable jurisdiction.

You also agree to:

(a) provide true, accurate, current and complete information about yourself while registering on our Platforms to avail the Services; and

(b) maintain and promptly update Your registration data to keep it true, accurate, current and complete.

3.2 If You provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, We reserve the right to suspend or terminate Your account and refuse any and all current or future use of our Platforms (or any portion thereof) at any time.

3.3 There is limited content available on our Platforms. All of such content is provided to you “AS IS” for Your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of Shoplook. Shoplook reserves all rights not expressly granted in and to the Website/App and the Content.

3.4 You may access our Platforms as available for Your information and personal use.

3.5 You will be required to enter a valid phone number while registering on our Platforms as a User. By registering Your phone number with us, you consent to be contacted by us via phone calls, SMS notifications or instant messages, in case of any service updates. If we do so, each communication we send You will contain instructions permitting you to “opt-out” of receiving future communications. In addition, if at any time You wish not to receive any future communications or You wish to have Your name deleted from our mailing lists, please contact us as indicated below. If You are registered with the DND National registry, You may not receive any promotional messages from Us.

3.6 The Services shall only be available to You if You are the authorised representative acting on behalf of the shop/establishments/outletsand dealing in the Products which are eligible to be sold on the Shoplook Platform.

4. Seller Account, Password and Security:

You may access and use the Shoplook Platform and the Services as a registered user by using mobile phones or any other operating systems, as may be notified and added by Us from time to time. You hereby warrant that you have authority to provide any information to Shoplook.
In order to access and use the features of the Service, You acknowledge and agree that You will have to provide Shoplook Your name and mobile phone number. The access to Shoplook Platform is linked to mobile number which shall be authenticated by entering a One Time Password which You will receive on Your mobile number immediately after sharing Your mobile number.

When providing Your mobile phone number, You agree to provide true, accurate, current and complete information about yourself. If You provide information that is untrue, inaccurate, not current or incomplete, or Shoplook has reasonable grounds to suspect that You have provided such information, we may (in addition to any other rights or remedies available to us), suspend or terminate Your access and refuse any and all current or future use of the Shoplook Platform and the services (or any portion thereof). You should be cautious about sharing your account information with third parties. You should not impersonate someone else, create or use an account for anyone other than yourself and the shop/establishment/outlet you represent. You are responsible for the confidentiality of Your personal/shop’s /establishment’s/outlet’s information which You provide while trying to get the access of the Shoplook Platform.

As a Seller, You confirm that You are truthfully/correctly indicating yourself as either the employee or manager or owner of the shop/establishment/outlet and providing accurate shop/establishment’s/outlet credentials including but not limited to shop name, address, phone number, number of employees, number of years in operation and not misrepresenting any of such information. Shoplook cannot and will not be liable for any loss or damage arising from Your failure to comply with this section. Your account shall be subject to suspension by Us, on Our sole discretion, in the event of ascertainment of any false information provided by You in regard with this section.
If You access our Shoplook Platform, You are responsible for maintaining the confidentiality of Your user identification and password information, and for restricting access to Your computer/mobile phones. You agree to accept responsibility for all activities that occur under your registered mobile number. When You access this Platform, You register Your personal/shop’s/outlet’s/establishment’s information in our database which will be maintained by Us and will be used for making Your user experience better and helping Buyers to contact and locate You.

Additionally, You are prohibited from selling, trading, or otherwise transferring Your account to another person.

5. Use Of Your Personal & Shop Information:

This clause explains that we will use Your shop and personal information only in accordance with Our Privacy Policy.
These Terms and Conditions incorporate Our Privacy Policy which describes (amongst other things) how we will use any personal information collected from the Shoplook Platform. For more information, please see Our full Privacy Policy for Sellers available at http://Shoplook.in
By visiting Our Shoplook Platform, You are accepting and consenting to the practices described in Shoplook’s Privacy Policy for Sellers.

6. Seller Conduct and Rules:

You Agree and Confirm that You will use the Services provided by the Shoplook Platform, to offer the Products to the Buyers and comply with all applicable laws and regulations while using and transacting through the Platform.

That You are accessing the Services available on this Platform and transacting at Your sole risk and are using Your best and prudent judgment before entering into any transaction through this Platform.

You agree and undertake to use the Shoplook Platform and the Service only to offer Your Products to the relevant Buyers at the terms and conditions solely agreed upon between You and the prospective Buyer.

By way of example, and not as a limitation,You agree not to post, email, host, display, upload, modify, publish, transmit, update or share any information on the Site, or otherwise make available Content:

i. that violates any law or regulation;

ii. that is copyrighted or patented, protected by trade secret or trademark, or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission or a license from their rightful owner to post the material and to grant Shoplook all of the license rights granted herein;

iii. that infringes any of the foregoing intellectual property rights of any party, or is Content that you do not have a right to make available under any law, regulation, contractual or fiduciary relationship(s);

iv. that is harmful, abusive, unlawful, threatening, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy or other rights, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or illegal gambling or harms or could harm minors in any way or otherwise unlawful in any manner whatsoever;

v. that harasses, degrades, intimidates or is hateful towards any individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

vi. that violates any (local) equal employment laws, including but not limited to those prohibiting the stating, in any advertisement for employment, a preference or requirement based on race, color, religion, sex, national origin, age, or disability of the applicant.

vii. that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation;

viii. that includes personal or identifying information about another person without that person’s explicit consent;

ix. that impersonates any person or entity, including, but not limited to, an Shoplook employee, or falsely states or otherwise misrepresents an affiliation with a person or entity;

x. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

xi. that is false, deceptive, misleading, deceitful, misinformative, or constitutes “bait and switch” offer;

xii. that constitutes or contains “pyramid schemes,” “affiliate marketing,” “link referral code,” “junk mail,” “spam,” “chain letters,” or unsolicited advertisements of a commercial nature;

xiii. that constitutes or contains any form of advertising or solicitation if (1) posted in areas or categories of the Platform which are not designated for such purposes; or (2) e-mailed to Shoplook users who have requested not to be contacted about other services, products or commercial interests;

xiv. that includes links to commercial services or Third Party Websites, except as specifically allowed by Shoplook;

xv. that advertises any illegal services or the sale of any items the sale of which is prohibited or restricted by applicable law, including without limitation items the sale of which is prohibited or regulated by applicable law;

xvi. that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or any other computer resource;

xvii. that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Service, or that otherwise negatively affects other users’ ability to use the Service; or

xviii. that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Service.

Additionally, you agree not to:

xix. contact anyone who has asked not to be contacted, or make unsolicited contact with anyone for any commercial purpose, specifically, contact any user to post advertisement on a third party website or post any advertisement on behalf of such user; or to “stalk” or otherwise harass anyone;

xx. make any libellous or defamatory comments or postings to or against anyone;

xxi. collect personal data about other users or entities for commercial or unlawful purposes;

xxii. use automated means, including spiders, robots, crawlers, data mining tools, or the like to download or scrape data from the Service, except for internet search engines (e.g,. Google) and non-commercial public archives (e.g. archive.org) that comply with our robots.txt file;

xxiii. post Content that is outside the local area or not relevant to the local area, repeatedly post the same or similar Content, or otherwise impose unreasonable or disproportionately large loads on our servers and other infrastructure;

xxiv. post the same item or service in multiple classified categories or forums, or in multiple metropolitan areas;

xxv. attempt to gain unauthorized access to computer systems owned or controlled by Shoplook or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or the Platform.

xxvi. use any form of automated device or computer program (sometimes referred to as “flagging tools”) that enables the use of Shoplook’s “flagging system” or other community control systems without each flag being manually entered by a human that initiates the flag (an “automated flagging device”), or use any such flagging tool to remove posts of competitors, other third parties or to remove posts without a reasonable good faith belief that the post being flagged violates these Terms or any applicable law or regulation.

xxvii. use any automated device or software that enables the submission of automatic postings on Shoplook without human intervention or authorship (an “automated posting device”), including without limitation, the use of any such automated posting device in connection with bulk postings, or for automatic submission of postings at certain times or intervals; or

xxviii. Any Content uploaded by you shall be subject to relevant laws and may disabled, or and may be subject to investigation under appropriate laws. Furthermore, if you are found to be in non-compliance with the laws and regulations, these terms, or the privacy policy of the Site, we may terminate your account/block your access to the Site and we reserve the right to remove any non-compliant Content uploaded by you.

7.Contents

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music and artwork (collectively, “Content”), is a third party user generated content and Shoplook has no control over such third party user generated content as Shoplook is merely an intermediary for the purposes of this Terms of Use.
Except as expressly provided in these Terms of Use, no part of the Website and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including “mirroring”) to any other computer, server, Website or other medium for publication or distribution or for any commercial enterprise, without Shoplook’s express prior written consent.

You may use information on the products and services purposely made available on the Website for downloading, provided that You (1) do not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) do not make any additional representations or warranties relating to such documents.

You shall be responsible for any notes, messages, emails, billboard postings, photos, drawings, profiles, opinions, ideas, images, videos, audio files or other materials or information posted or transmitted to the Website (collectively, “Content”). Such Content will become Our property and You grant Us the worldwide, perpetual and transferable rights in such Content. Shoplook may from time to time introduce referral and/or incentive based programs for its users (Program). These Program(s) maybe governed by their respective terms and conditions. By participating in the Program, Users are bound by the Program terms and conditions as well as the Shoplook Platform terms.

Representations Regarding Your or User Content:

You are responsible for Your Content. You represent and warrant that you are the sole author of, own, or otherwise control all of the rights of Your Content or have been granted explicit permission from the rights holder to submit Your Content; Your Content was not copied from or based in whole or in part on any other content, work, or website; Your Content was not submitted via the use of any automated process such as a script bot; use of Your Content by us, third party services, and our and any third party users will not violate or infringe any rights of yours or any third party; Your Content is truthful and accurate; and Your Content does not violate the Guidelines and Policies or any applicable laws. If Your Content is a review, you represent and warrant that you are the sole author of that review; the review reflects an actual experience that you had; you were not paid or otherwise remunerated in connection with your authoring or posting of the review; and you had no financial, competitive, or other personal incentive to author or post a review that was not a fair expression of your honest opinion.

You assume all risks associated with Your Content, including anyone’s reliance on its quality, accuracy, or reliability, or any disclosure by you of information in Your Content that makes you personally identifiable. While we reserve the right to remove Content, we do not control actions or Content posted by our users and do not guarantee the accuracy, integrity or quality of any Content. You acknowledge and agree that Content posted by users and any and all liability arising from such Content is the sole responsibility of the user who posted the content, and not Shoplook.

Content Removal

We reserve the right, at any time and without prior notice, to remove, block, or disable access to any Content that we, for any reason or no reason, consider to be objectionable, in violation of the Terms or otherwise harmful to the Services or our users in our sole discretion. Subject to the requirements of applicable law, we are not obligated to return any of Your Content to you under any circumstances.

Third Party Content and Links

Some of the content available through the Services may include or link to materials that belong to third parties. Please note that your use of such third party services will be governed by the terms of service and privacy policy applicable to the corresponding third party. We may obtain business addresses, phone numbers, and other contact information from third party vendors who obtain their data from public sources. We have no control over, and make no representation or endorsement regarding the accuracy, relevancy, copyright compliance, legality, completeness, timeliness or quality of any product, services, advertisements and other content appearing in or linked to from the Services. We do not screen or investigate third party material before or after including it on our Services. We reserve the right, in our sole discretion and without any obligation, to make improvements to, or correct any error or omissions in, any portion of the content accessible on the Services. Where appropriate, we may in our sole discretion and without any obligation, verify any updates, modifications, or changes to any content accessible on the Services, but shall not be liable for any delay or inaccuracies related to such updates. You acknowledge and agree that Shoplook is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources.
Third party content, including content posted by our users, does not reflect our views or that of our parent, subsidiary, affiliate companies, branches, employees, officers, directors, or shareholders. In addition, none of the content available through the Services is endorsed or certified by the providers or licensors of such third party content. We assume no responsibility or liability for any of Your Content or any third party content. You further acknowledge and agree that Shoplook is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources. Without limiting the generality of the foregoing, we expressly disclaim any liability for any offensive, defamatory, illegal, invasive, unfair, or infringing content provided by third parties.

Others Terms

You agree not to access (or attempt to access) any of the Services by any means other than the interface that is provided by Shoplook, unless you have been specifically allowed to do so, by way of a separate agreement with Shoplook. You specifically agree not to access (or attempt to access) any of the Services through any automated means (including use of scripts or web crawlers).
You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). You shall not delete or revise any material or information posted by any other User(s), shall not engage in spamming, including but not limited to any form of emailing, posting or messaging that is unsolicited.

8. Guarantee and responsibility for Your Products:

You shall be solely liable for any claims, damages, allegation arising out of the Products offered for sale via Shoplook platform (including but not limited to quality, quantity, price, merchantability, finish, appearance, size, colour, functionality, reliability, use for a particular purpose, or any other related claim) and shall hold Shoplook harmless and indemnified against all such claims and damages.
You represent that You own or have the necessary permissions to sell Products as offered by You on the Shoplook Platform. You may not imply that Product is in any way sponsored or endorsed by Shoplook. You may expose yourself to liability if, for example, Your Products quality is bad or does not match with the information provided by You on Shoplook Platform or contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation. You shall be responsible for any return & exchange policy You offer to the Buyers.
You hereby agree, confirm and acknowledge that the Product is owned by the shop/establishments/outlets and either You or Your authorised representative shall use the Shoplook Platform to offer Products to the Buyers. Shoplook is merely a platform for Buyers to find out availability of Your Product and Shoplook is not responsible/ liable for the Product, its design, its function and condition manufacturing and selling and financial obligations, warranties, guarantees whatsoever.

Selling

As a registered seller, you are allowed to list item(s) for sale on the App in accordance with the Policies which are incorporated by way of reference in this Terms of Use. You must be legally able to sell the item(s) you list for sale on our App. You must ensure that the listed items do not infringe upon the intellectual property, trade secret or other proprietary rights or rights of publicity or privacy rights of third parties. Listings may only include text descriptions, graphics and pictures that describe your item for sale. All listed items must be listed in an appropriate category on the App. All listed items must be kept in stock for successful fulfilment of sales.
You agree not to list a single product in multiple quantities across various categories on the Website/App. Shoplook reserves the right to delete such multiple listings of the same product listed by you in various categories.

PRODUCT LISTING POLICY

GENERAL TERMS

You may not post any content or sell any item on Shoplook Platform that is restricted or prohibited by a federal, state or local law in India.Posting any content or listing any item below are specifically prohibited unless expressly permitted in writing by Shoplook.

HOWEVER, THIS LIST IS NOT INTENDED TO BE EXHAUSTIVE AND MERELY INDICATIVE.

Shoplook has chosen to also prohibit the posting of items which may not be restricted or prohibited by law but are nonetheless controversial including:Items that encourage illegal activities (e.g. lock pick tools, synthetic urine for cheating drug tests);Items that are racially, religiously or ethnically derogatory, or that promote hatred, violence, racial or religious intolerance;Giveaways, lotteries, raffles, or contests;Stocks, bonds, investment interests, and other securities;Pornographic materials or items that are sexual in nature;Items that do not offer physical product or service, such as digital currencies and advertisements solely for the purpose of collecting user information.Shoplook reserves the right to impose additional restrictions and prohibitions.

Shoplook forbids any and all listing or sale of narcotics, psychotropic drugs, natural drugs, synthetic drugs, steroids and other controlled substances (including all drugs listed in Drugs and Cosmetics Act, Narcotics or Psychopathic Substances Act or any other law applicable).Drug paraphernalia, including all items that are primarily intended or designed for use in manufacturing, concealing, or using a controlled substance.The listing or sale of packaging materials which may be utilized to contain controlled substances, materials conducive to smuggling, storing, trafficking, transporting and manufacturing illicit drugs (e.g. marijuana grow lights), publications and other media providing information related to the production of illicit drugs.The listing or sale of orally administered or ingested sexual enhancement foods and supplements.

EXPLOSIVE, HAZARDOUS CHEMICALS AND FIREARMS

The posting of explosives and related ignition and detonation equipment.Radioactive substances, toxic and poisonous chemicals.The posting, offering for sale, or offering for purchase of hazardous or dangerous materials.Ozone depleting substances are not permitted to be listed.Listing of fireworks, firecrackers and associated products are forbidden. Where the User is a properly licensed to sell these products an exception can be made.Any service, instruction, process, or aid for producing any biological, chemical, or nuclear weapons, or other Weapons of Mass Destruction (WMD) or known associated agents.The posting of, offering for sale, or offering for purchase of any arms, military ordnance, weapons (including explosive weapons), and/or any related parts and components (whether integral or otherwise).Posting, offering for sale, or offering of purchase of weapons that can incapacitate or cause serious physical harm to others (e.g. stun guns, batons, crossbows).While listing of most knives and other cutting instruments is permitted, switchblade knives, gravity knifes, knuckledusters (bladed or not), bladed handheld devices, and disguised knives are prohibited.Shoplook maintains discretion over what items are appropriate and may cause removal of a listing that it deems as a weapon.

GOVERNMENT, LAW ENFORCEMENT AND MILITARY ISSUED ITEMS

Following items are not permitted to be listed:

Articles of clothing or identification that claim to be, or appear similar to, official government uniforms.Law enforcement badges or law enforcement equipment from any public authority, including badges issued by the government of any country.Military decorations, medals and awards, in addition to items with substantially similar designs.Police uniforms, police insignia and police vehicles.There are some police items that may be listed on the Shoplook, provided they observe the following guidelines:Authorized general souvenir items that do not resemble badges, and paperweights that do not contain badges.Badges that are clearly not genuine or official.Historical badges that do not resemble modern law enforcement badges, provided that the item description clearly states that the badge is a historical piece.Any official, internal, classified or non-public documents.Listing of police equipment and associated products

ADULT AND OBSCENE MATERIALS

The posting or sale of pornographic materials.Items depicting or suggestive of bestiality, rape sex, incest or sex with graphic violence or degradation, and any items depicting or suggestive of sex involving minors, are strictly prohibited.

CIRCUMVENTION DEVICES AND OTHER EQUIPMENT USED FOR ILLICIT PURPOSES

Descramblers and other items that can be used to gain unauthorized access to television programming (such as satellite and cable TV), internet access, telephone, data or other protected, restricted, or premium services.Devices designed to intentionally block, jam or interfere with authorized radio communications, such as cellular and personal communication services, police radar, global positioning systems (GPS) and wireless networking services (Wi-Fi).The listing or sale of spy equipment and devices used for interception of wire, oral and electronic communications.Bank card readers and “skimmers”.Any and all unauthorized circumvention devices not included in the above are also strictly prohibited.

ILLEGAL SERVICES

Listings claiming to provide government services and related products.The listing or sale of any form of invoices or receipts (including blank, pre-filled, or value added invoices or receipts).Shoplook prohibits listings for the sole purpose of collecting user information or raising money.

COLLECTIONS, ARTIFACTS AND PRECIOUS METALS

Shoplook strictly forbids the sale and purchase of currency, coins, banknotes, stocks, bonds, money orders, credit and debit cards, investment interest, currency in digital or any intangible form (e.g. crypto-currency), as well as the equipment and materials used to produce such items.Counterfeits of the identified articles, legal tender and stamps.Reproductions or replicas of coins as collectible items must be clearly marked with the word “COPY”, “REPRODUCTION” or “REPLICA” and comply with local laws.Rough diamonds and “conflict minerals” originating from non-compliant countries.Artefacts, cultural relics, historical grave markers, and related items are protected under the laws of India.

HUMAN PARTS, HUMAN REMAINS AND PROTECTED FLORA AND FAUNA

Listing of human body parts and remains.The listing or sale of any animal (including any animal parts such as pelts, skins, internal organs, teeth, claws, shells, bones, tusks, ivory and other parts) protected by the Convention on International Trade in Endangered Species of Wild Fauna and Flora (CITES) or any other local law or regulation.

OFFENSIVE MATERIAL AND INFORMATION DETRIMENTAL TO NATIONAL SECURITY

Any publication or other media containing state secrets or information detrimental to national security or public order.Any information supporting or advocating infringement of national sovereignty, terrorist organizations or discrimination on grounds of race, sex, or religion.Postings that are ethnically or racially offensive.Materials advocating, promoting or otherwise supporting fascism, Nazism and other extreme ideologies.

TOBACCO PRODUCTS

The posting of tobacco products, including but not limited to cigars, cigarettes, cigarette tobacco, pipe tobacco, hookah tobacco, chewing tobacco and tobacco leaf is prohibited.

8(b).Platform for Transaction and Communication

The Shoplook Platform is a platform that enables Buyers to meet and interact with You for their transactions. Shoplook is not and cannot be a party to or control in any manner any transaction between the Buyers and You.
a) All commercial/contractual terms are offered by and agreed to between You and Buyers alone: Shoplook does not have any control or does not determine or advise or in any way involve itself in the offering or acceptance of such commercial/contractual terms between You and the Buyers.b) Shoplook is not responsible for any non-performance or breach of any contract entered into between Buyers and You. Shoplook cannot and does not guarantee that the concerned Buyers will perform any transaction concluded through the Shoplook Platform. Shoplook shall not and is not required to mediate or resolve any dispute or disagreement between Buyers and You.c) Shoplook does not make any representation or warranty as to the item-specifics (such as legal title, creditworthiness, identity, etc) of any of its Buyers. You are advised to independently verify the bona fides of any particular Buyer that You choose to deal with and use Your best judgment in that behalf.

9. Content guidelines and Changes

You represent that you have read, understood and agreed to our Guidelines and Polices related to Content. Shoplook may vary or amend or change or update these Terms, from time to time entirely at its own discretion. You shall be responsible for checking these Terms from time to time and ensure continued compliance with these Terms. Your use of Shoplook Platform after any such amendment or change in the Terms shall be deemed as your express acceptance to such amended/changed terms and you also agree to be bound by such changed/amended Terms.

10. Pricing:

The Shoplook Platform is a platform that enables You to offer Products at the price indicated by You on the Shoplook Platform through Your own shops/establishments/outlet. No monetary transaction takes place through Shoplook Platform. Shoplook accepts no liability for any loss or damage whatsoever in relation to any information provided through this Shoplook Platform.

11.Intellectual Property Rights:

It is expressly clarified that You will retain ownership and shall solely be responsible for any content that You provide or upload when using any Service, including any text, data, information, images, photographs, music, sound, video or any other material which You may upload, transmit or store when making use of Our various Service.
The Shoplook Platform and the processes, and their selection and arrangement, including but not limited to all text, graphics, user interfaces, visual interfaces, sounds and music (if any), artwork and computer code (collectively, the “Content”) on the Shoplook Platform is owned and controlled by Shoplook or its licensors and the design, structure, selection, coordination, expression, look and feel and arrangement of such Content is protected by copyright, patent and trademark laws, and various other intellectual property rights. Through Your use of the Shoplook Platform, by no means are any rights impliedly or expressly granted to You in respect of such Content. Shoplook reserves the right to change or modify the Content from time to time at its sole discretion.
Except as expressly provided herein, You acknowledge and agree that You shall not copy, republish, post, display, translate, transmit, reproduce or distribute any Content through any medium without obtaining the necessary authorization from Shoplook of such Content and no others rights are conveyed to You by virtue of accessing or using the Shoplook Platform.

Shoplook PLATFORM, SERVICES, CONTENT, USER CONTENT AND ANY THIRD PARTY CONTENT ARE PROVIDED BY Shoplook ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, Shoplook MAKES NO WARRANTY THAT (I) THE Shoplook PLATFORM OR THE SERVICES WILL MEET YOUR REQUIREMENTS OR YOUR USE OF THE Shoplook PLATFORM OR THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (II) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE Shoplook PLATFORM OR SERVICES WILL BE EFFECTIVE, ACCURATE OR RELIABLE; (III) THE QUALITY OF THE Shoplook PLATFORM OR SERVICES WILL MEET YOUR EXPECTATIONS; OR THAT (IV) ANY ERRORS OR DEFECTS IN THE Shoplook PLATFORM OR SERVICES WILL BE CORRECTED. BY INSTALLING Shoplook PLATFORM, YOU MAY DISCLOSE INFORMATIONS LIKE LOCATION, EMAIL-ID ETC., (APP PERMISSIONS) TO Shoplook.YOU SHALL HAVE SOLE RESPONSIBILITY AND LIABILITY FOR SUBMITTED INFORMATION AND MATERIALS. WE WILL USE SUCH SUBMITTED INFORMATION AND MATERIALS EXCLUSIVELY FOR YOUR BETTER EXPERIENCE OF USING OUR Shoplook PLATFORM. Shoplook DOES NOT WARRANT THAT THIS Shoplook PLATFORM; INFORMATION, CONTENT, MATERIALS, PRODUCT (INCLUDING SOFTWARE) OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE Shoplook PLATFORM; THEIR SERVERS; OR ELECTRONIC COMMUNICATION SENT FROM US ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13.Indemnification:

You agree to indemnify, defend and hold harmless Shoplook from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by Shoplook that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by You pursuant to these Terms of Use or Privacy Policy.

14.Termination:

Shoplook may suspend or terminate Your use of the Shoplook Platform any Service if it believes, in its sole and absolute discretion that You have breached, violated, abused, or unethically manipulated or exploited any term of these Terms of Use or anyway otherwise acted unethically. Shoplook reserves the right to terminate Your account and / or refuse to provide You with access to the Shoplook Platform if it is brought to Shoplook’s notice or if it is discovered that You are under the age of 18 years. Shoplook reserves the right to terminate if they have reasonable grounds to suspect that information provided by You is untrue, inaccurate, not current or incomplete, or not in accordance with the Terms of Use, Shoplook shall have the right to indefinitely suspend or terminate or block access of Your account on the Shoplook Platform and refuse to provide You with access to the Shoplook Platform. Shoplook reserves the right to refuse to process transactions/communications by Sellers with a prior history of questionable charges based on rating and review including without limitation breach of any agreements between You and Buyer or breach/violation of any law or breach of any policy.

15.Severability:

If any provision of the Terms of Use is found by a court or other binding authority to be invalid, You agree that every attempt shall be made to give effect to the parties intentions as reflected in that provision, and the remaining provisions contained in the Terms of Use shall continue in full force and effect.

16.Trademark, Copyright and Restriction

This site is controlled and operated by Shoplook and products are sold by respective Sellers. All material on this site, including images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights. Material on Website is solely for Your personal, non-commercial use. You must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and You must not assist any other person to do so. Without the prior written consent of the owner, modification of the materials, use of the materials on any other website or networked computer environment or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks and other proprietary rights, and is prohibited. Any use for which You receive any remuneration, whether in money or otherwise, is a commercial use for the purposes of this clause.

17.Governing Law:

The laws of the India, shall govern these Terms of Use, regardless of Your location. You hereby expressly consent to exclusive jurisdiction and venue located in , Delhi, India, for all matters or disputes arising out of or relating to these Terms of Use or Your access or use of the Shoplook Platform.
ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OF USE OR YOUR USE OF THE WEBSITE/APP MUST BE BROUGHT BY YOU WITHIN 1 (ONE)MONTH OF THE DATE SUCH CAUSE OF ACTION FIRST AROSE, OR SUCH CAUSE OF ACTION IS FOREVER WAIVED BY YOU. EACH CAUSE OF ACTION SHALL BE ADJUDICATED INDIVIDUALLY, AND YOU AGREE NOT TO COMBINE YOUR CLAIM WITH THE CLAIM OF ANY THIRD PARTY.

We use Your Information for understanding Users in such a way as to provide better Services of Shoplook Platform;
We use Your Information to customize Your experience; detect and protect Us against error, fraud and other criminal activity; enforce Our terms and conditions; and as otherwise described to You at the time of collection; and

5. What types of information are not allowed on Shoplook Platform?

Nudity or other sexually suggestive content;
Hate speech;
credible threats or direct attacks on an individual or group;
Content that contains self-harm or excessive violence;
Fake or impostor profiles ;and
Spam.

Generally, Shoplook will not disclose personally identifiable information that We collect through Your use of the Shoplook Platform to unaffiliated third parties. We reserve the right, however, to provide such information to Our affiliates, third party contractors, employees, contractors, agents, and designees to the extent necessary to enable them to perform certain Shoplook Platform-related services (e.g., Shoplook Platform hosting, improve Shoplook Platform related services and features, or maintenance services) on Our behalf.

We use this data to enable us to deliver the functionalities of the Shoplook Platform, resolve technical difficulties, and provide You with the correct (prevent the transmission of spam, viruses and/or unlawful, defamatory, obscene or otherwise undesirable material or content) and most up to date version of the Shoplook Platform.

8. Choice/Opt-Out:

We provide all Sellers with the opportunity to opt-out of receiving non-essential (promotional, marketing-related) communications from Us.

9. Security:

Shoplook takes Your security seriously and We take precautions to keep Your Information secure. We have put in place appropriate physical, electronic and managerial procedures to safeguard the information We collect. However, due to the open communication nature of the internet, We cannot guarantee that communications between You and Shoplook, or information stored on Our Shoplook Platform, will be free from unauthorized access by third parties. Any transmission of information by You to Our Shoplook Platform is at Your own risk.

10. Legal Disclaimer.

We reserve the right to disclose Your personally identifiable information as required by law and when we believe that disclosure is necessary to protect Our rights and/or to comply with a judicial proceeding, court order or legal process served on Our Shoplook Platform. ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OF USE OR YOUR USE OF THE Shoplook PLATFORM MUST BE BROUGHT BY YOU WITHIN ONE (1) MONTH OF THE DATE SUCH CAUSE OF ACTION FIRST AROSE, OR SUCH CAUSE OF ACTION IS FOREVER WAIVED BY YOU. EACH CAUSE OF ACTION SHALL BE ADJUDICATED INDIVIDUALLY, AND YOU AGREE NOT TO COMBINE YOUR CLAIM WITH THE CLAIM OF ANY THIRD PARTY.
